Okay, you made me curious enough to google. Evidently this is a
scam like a pigeon drop (aka Nigerian) scam. You convince the
mark that there is money to be made by exploiting a loophole in
federal tax law. The provision is supposed to make it possible
for people to trade legitimate businesses even-steven without
having to pay a bunch of taxes to do so. However, the mark is
convinced that this provision can be used to make money without
the necessity of actually having a viable business. Like all
pigeon drop (aka Nigerian) scams, it preys upon the mark's
desire to make a bunch of money without actually working for it.
All the mark has to do is put up some money to set the scheme in
motion. The result of that is easily predictable.

Sounds like the Starker exchange for real estate property of like kind.

YOu have to pay taxes on the diference, but there are all sorts of ways to
finangle that.
